STANDARD TERMS AND CONDITIONS



  1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
  2. Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Organic Whole Foods reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. Organic Whole Foods will be authorized to suspend any provision of services without prior warning in the event of late payment.
  3. If a payment is still outstanding more than sixty (60) days after the due payment date, Organic Whole Foods reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
  4. Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Organic Whole Foods become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Organic Whole Foods in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
  5. Organic Whole Foods undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Organic Whole Foods cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
  6. In order for it to be admissible, Organic Whole Foods must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.
  7. All our contractual relations will be governed exclusively by United States law.

VOLUNTEER ASSUMPTION OF RISK, RELEASE OF LIABILITY AND INDEMNITY AGREEMENT FOR:

ORGANIC WHOLE FOODS FOOD BANK

ORGANIC WHOLE FOODS Food Bank is a charitable, non-profit organization with a mission to provide the community with nutritious food for people in need.  Waiver and Release of Claims. I waive and release any and all claims against ORGANIC WHOLE FOODS Food Bank, its directors, employees, volunteers and affiliates (collectively, the “Released Parties”), for any liability, loss, damages, claims, expenses and attorneys’ fees resulting from death, food poisoning by consumption or injury to my person. I agree not to sue any of the Released Parties on the basis of these waived and released claims. I accept the donated food “as is” and release ORGANIC WHOLE FOODS Food Bank from any liability resulting from the condition of the donated food. I agree to indemnify, defend and hold the Food Bank free and harmless from and against all and any liabilities, damages, losses, claims, causes of action, suits at law or in equity or any obligation whatsoever and all costs and expenses including attorney’s fees.

Renuncio y libero cualquier y todas las reclamaciones contra el Banco de Alimentos ORGANIC WHOLE FOODS, sus directores, empleados, voluntarios y afiliados (colectivamente, las “Partes Liberadas”), por cualquier responsabilidad, pérdida, daños, reclamaciones, gastos y honorarios de abogados resultantes de muerte, intoxicación alimentaria por consumo o lesión a mi persona. Acepto no demandar a ninguna de las Partes Liberadas sobre la base de estas reclamaciones renunciadas y liberadas. Acepto los alimentos donados "tal cual" y libero al Banco de Alimentos ORGANIC WHOLE FOODS de cualquier responsabilidad resultante de la condición de los alimentos donados. Acepto indemnizar, defender y mantener al Banco de Alimentos libre y exento de toda y cualquier responsabilidad, daños, pérdidas, reclamaciones, causas de acción, demandas en derecho o en equidad o cualquier obligación en absoluto y todos los costos y gastos, incluidos los honorarios de abogados.
